About the Role

As a Governance Advisor at Mindful Governance, you will play a key role in strengthening and embedding conscious governance practices across our clients’ organisations. This is a strategic and hands-on role suited for a governance professional who combines technical expertise with the ability to advise, influence, and support boards and executive teams in achieving best practice governance outcomes.


You will be responsible for delivering high-quality governance advisory services, ensuring compliance, facilitating board effectiveness, and supporting our clients in driving good governance. 


Key Responsibilities


Corporate Governance & Advisory

·  Provide proactive and strategic governance advice to a portfolio of clients, tailored to their stage of growth and regulatory landscape.

·      Lead the preparation and oversight of annual governance planning calendars (board meetings, committees, filings, board agenda cycles).

·      Coordinate and support Board and Committee meetings including setting agendas, reviewing and preparing board packs, and drafting minutes.

·      Support board evaluation processes and facilitate governance reviews and diagnostics.

·      Maintain up-to-date statutory registers, including Directors’ interests and shareholding registers.

·      Monitor and ensure compliance with the Companies Act and other regulatory obligations (ORC, Bank of Ghana SEC, etc.).

·      Drive continuous improvement in clients’ governance frameworks and systems.


Compliance & Secretarial Duties

·      Prepare and file statutory returns and documents, including annual returns and changes in company structure or directorships.

·      Conduct annual compliance audits and maintain robust documentation and evidence trails.

·      Attend and advise at AGMs and EGMs, ensuring correct procedures and documentation are followed.

·      Maintain secure and accessible records of legal documents, contracts, and corporate filings.


Legal & Transactional Support

·      Review governance-related legal documentation and identify issues or inconsistencies.

·      Support clients with joint venture/shareholder agreements and governance implications of corporate transactions.

·      Liaise with legal counsel where necessary and manage external legal relationships.


Strategic Projects & Business Development

·      Support the design and facilitation of governance workshops and events for clients.

·      Contribute to thought leadership, including white papers, articles, and knowledge-sharing sessions.

·      Assist in identifying new business opportunities and preparing client proposals and governance service packages.


Qualifications & Experience

·      Law degree, Chartered Secretary qualification, or related governance/legal certification.

·      7–9 years of professional experience in governance advisory, company secretarial services, or legal compliance.

·      Demonstrated ability to advise senior stakeholders and work directly with boards.

·      Strong understanding of corporate law, governance codes, and compliance best practices.

·      Experience in facilitating or supporting board evaluations or governance reviews is an asset.


Skills & Competencies

·      High emotional intelligence, with the ability to read the room and adapt communication styles.

·      Excellent verbal and written communication skills, including report writing and board-level correspondence.

·      Curiosity and a strong desire for continuous learning and personal growth.

·      Strong analytical and problem-solving abilities with sound judgment and discretion.

·      Highly organised and capable of managing multiple clients or workstreams concurrently.

·      Facilitation skills are ideal; willingness to learn and develop these skills is essential.

·      Skilled in MS Office, board portals, and governance tools (e.g., Diligent, Convene, etc.).

·      Ability to thrive in a purpose-driven, fast-paced environment with minimal supervision.

·      Familiarity with the governance, leadership, or consulting sectors.
