Voting Board Member – Legal & Governance

The Redda Group has been retained to identify an accomplished legal executive to serve as a voting member of the Board of Directors for a growing energy and infrastructure company with significant operations in West Africa.
This is a part-time, non-executive fiduciary role for a senior legal leader who can provide strategic guidance on corporate governance, regulatory compliance, complex transactions, cross-border expansion, and enterprise risk.
Key Responsibilities
- Provide board-level legal and governance oversight.
- Advise on corporate strategy, capital projects, investments, and cross-border growth.
- Offer legal insight on major energy and infrastructure transactions, including power generation, pipelines, and oil and gas projects.
- Guide the Board on multi-jurisdictional regulatory, tax, compliance, and risk matters.
- Help navigate the political, legal, and regulatory environments of Francophone and Anglophone West Africa.
- Support strong ESG, HSE, ethics, and stakeholder-transparency practices.
- Serve on Board committees, which may include Audit, Risk, Governance, or Compensation.
- Provide independent counsel and support to the Board Chair, CEO, and executive leadership team.
Candidate Profile
- Law degree required; JD, LLB, or equivalent international qualification.
- 20+ years of experience in energy, infrastructure, project law, structured finance, regulatory matters, or related areas.
- Senior-level experience as a General Counsel, Chief Legal Officer, law firm partner, or comparable legal executive.
- Prior fiduciary board or board committee experience.
- Demonstrated experience with major energy projects, international transactions, sponsors, investors, or development finance institutions.
- Strong understanding of international legal frameworks, ideally including OHADA and other African legal systems.
- Experience conducting business or advising organizations in West Africa.
- Fluency in French and English is strongly preferred.
- Ability to travel internationally for Board meetings.
The anticipated commitment is approximately four Board meetings annually, a strategy retreat, periodic committee meetings, and an estimated six to ten hours per month. A competitive Board retainer will be provided.
