Sustainology Ghana Ltd. is seeking a highly skilled and proactive Legal Counsel to manage all legal, regulatory, and compliance matters for our climate and clean-energy operations across Ghana. This role will support corporate governance, contract management, land-related legal processes and regulatory approvals.

Job Description/Requirements
Responsibilities:
Corporate & Regulatory Compliance
- Ensure compliance with Ghanaian corporate laws, environmental regulations, energy guidelines, and all statutory requirements.
- Manage regulatory filings, licenses, permits, annual returns, and company documentation
- Advise management on legal implications of business decisions and operational strategy
Contract Drafting & Negotiation
- Draft, review, and negotiate a wide range of agreements including:
- Commercial contracts
- Technical and vendor agreements
- Professional service agreements
- Confidentiality & compliance documents
- Ensure that contracts minimize legal risk and align with operational objectives.
Land & Property Legal Support
- Conduct due diligence on land and property-related matters.
- Lead the drafting and review of land access agreements, leases, and related documentation.
- Support negotiations with stakeholders while ensuring compliance with statutory and customary land laws.
Project Compliance & Permitting
- Oversee the legal aspects of project permitting, including environmental approvals, local authority clearances, and operational licenses.
- Liaise with regulatory bodies to ensure timely processing of applications and renewals.
- Advise internal teams on regulatory pathways and compliance obligations.
Import, Trade & Documentation Support
- Guide import-related legal processes including customs documentation, classification, compliance requirements, and contract conditions.
- Review supplier documentation for conformity, certification, warranties, and international trade obligations.
Risk Management & Dispute Resolution
- Identify potential legal risks and propose mitigation strategies.
- Support dispute resolution processes including mediation, negotiation, and litigation management.
- Maintain accurate and organized documentation of all legal matters.
Requirements:
- A qualified lawyer licensed to practice in Ghana.
- 3-5 years of experience in corporate, commercial, environmental, or land-related legal work.
- Strong experience in contract drafting, negotiation, and regulatory compliance.
- Experience with land matters, permitting, or government engagement is highly advantageous.
- Excellent communication, analytical, and stakeholder management skills.
- Ability to work independently, manage multiple priorities, and operate with high professional integrity.
- Willingness to travel occasionally to project sites across Ghana.
